General Terms and Conditions (B2B)

1. Scope and contracting party

These Terms apply to Salonza services supplied by Ludusan Denis-Lucian, Vienna, Austria, to business customers. The paid Salonza subscription is intended for entrepreneurs, salons, studios and self-employed professionals.

2. Contract formation

The Terms are incorporated when the salon explicitly accepts them during registration or a later required acceptance step. The salon can view the current Terms before acceptance. The salon must provide truthful and current account information.

3. Trial and paid plan

New salons may receive a 30-day free trial. The applicable price is displayed before a paid order. Promotions or individually agreed prices may apply. A free trial does not automatically create a paid subscription.

4. Payments

Depending on the payment method offered, paid periods may be handled manually or through a payment provider. A manual payment request does not count as paid until Salonza has verified receipt. The payment reference shown in Billing should be used where applicable. Approved payments extend the paid period shown in the account.

5. Recurring subscriptions

Where recurring card or wallet subscriptions are offered, the billing interval, amount and automatic renewal are shown clearly before activation and require a separate paid subscription action. Manual accounts are not converted into recurring card charges without explicit activation.

6. Cancellation and refunds

A subscription can be ended for future renewal. Ordinary cancellation does not by itself create a refund for a paid period that has already begun; access remains available until the paid period ends, subject to these Terms. Mandatory rights, billing errors, duplicate charges and justified service failures remain unaffected.

7. Grace period

After expiry, Salonza may provide the grace period shown in the account. During grace, the salon can renew. After grace, new online bookings may be disabled while account data remains available according to the applicable retention rules.

8. Salon responsibilities

The salon is responsible for its services, prices, availability, staff information, customer communications, legal permissions and the lawful use of customer data. Login credentials must be kept confidential. Employee access must only be granted to authorised persons.

9. Appointment service

Salonza provides technical booking tools. The service contract for the salon treatment is between the salon and its customer. Salonza is not the provider of the salon treatment and does not guarantee that a customer attends an appointment.

10. Availability and changes

Reasonable maintenance, security work and technical interruptions may occur. Salonza may develop or replace functions provided that the essential purpose of the paid service is not arbitrarily removed. Material contractual changes will not be hidden merely by publishing a new page.

11. Prices

Prices for new subscriptions may change. A price already agreed for an active billing period is not changed retroactively. Any future change affecting an existing recurring subscription must be communicated before it takes effect and handled according to the applicable agreement and law.

12. Suspension and termination

Salonza may suspend accounts for non-payment after the grace period, security threats, unlawful use, abuse or serious breaches of these Terms. Where reasonably possible, the salon will be informed and given a chance to remedy the issue.

13. Liability

Liability is governed by Austrian law. Nothing in these Terms excludes liability where exclusion is legally impermissible. For ordinary B2B service risks, liability may be limited to foreseeable damage caused by a culpable breach, subject to mandatory law.

14. Data protection and processor relationship

Personal data is handled under the Privacy Policy. For appointment data processed on behalf of a salon, the Data Processing Agreement (AVV) forms part of the contractual documentation.

15. Applicable law and venue

Austrian law applies, excluding conflict-of-law rules to the extent legally permissible. For business customers, the competent court in Vienna is agreed where such a venue agreement is legally permissible.
